Our Terms of Use

These Terms of Use ("Terms") are updated on 13 March 2026 and shall take effect as of that date. These Terms are a binding contract between the user (“User”, “you” or “your”) and Nas Education Pte Ltd (Company", "Nas.io", or "Nas Company") regarding your use of our web service and mobile application, including each Nas Community you create or join (each a “Service” and collectively the "Services"). By accessing or using our Services, you agree that you have read, understood, and agree or consent to be bound by these Terms and our privacy policy dated 24 November 2022, accessible at https://nas.io/privacy (“Privacy Policy”). If you do not agree with or consent to being bound to our Terms or Privacy Policy, you should refrain from using our Services. 


Throughout these Terms, reference to the singular includes a reference to the plural and vice versa. The terms “including” and “includes” shall be deemed to be followed by the words “without limitation” and/or “but not limited to”, such that any reference to “includes” or “including” in these Terms shall be construed as illustrative and not limiting the generality of the surrounding provisions and/or these Terms as a whole. The headings, titles and section numbers used in these Terms are for convenience of reference only and shall not affect the meaning, interpretation or construction of any provision of these Terms.

1. Use of Service


A. How It Works 

We enable individuals or organizations to create or participate in a community (with a series of events, videos, resources, and chat) dedicated to an interest, passion, identity, or individual (a "Community") for free ("Free"), for a fee ("Paid"), or by application ("By Application"). Individuals and/or organizations who create a Community ("Community Creators") do so to invite people ("Members") to connect with each other, to message, and to exchange information and content. Community Creators have the ability to, among other things, assign their own personnel who will help them to run their community if required ("Community Manager"), including but not limited to uploading curated content, inviting Members, and having oversight of the activities they organize in their Community. 


B. Who can use Nas Community? 

You must be at least 18 years of age and/or have attained the age of majority in the state or country where you live to create or participate in a Community. If you are using the Services on behalf of any person, you represent and warrant that you are duly authorized to accept these Terms on such person's behalf and that such person shall be responsible to Nas.io for any violation of these Terms by you or such person. 

You must not create or use a Nas.io account if you are prohibited from doing so under any applicable laws or if you have been previously terminated or restricted from using payment providers or advertising platforms integrated with Nas.io (e.g., Stripe, Meta). Nas.io reserves the right to deny access or remove any account found to be in violation of these terms. 


C. Registration 

You will set up an account in order to join and/or participate in a Community. When you set up a profile with any Community, you understand that we may collect, use and disclose your registration information in accordance with our Privacy Policy. your name and contact information will be made available to your Community Creator and its assigned Community Manager. You are responsible for maintaining the confidentiality of your password. 


D. Privacy 

Our privacy practices are set out in our Privacy Policy, which is part of these Terms. By joining a Nas Community, you are sharing personally identifiable information with your Community Creator, Community Manager, other Members, and the Nas Company team. 


E. Guidelines 

When you create or join any Community on Nas.io, you agree to follow our guidelines (“Guidelines”) and uphold a safe, respectful, and legally compliant environment. Specifically, you must not: 


  • Violate any applicable laws or regulations, including those related to intellectual property or personal rights; 


  • Engage in or promote violence, threats, harassment, or discrimination based on race, ethnicity, gender, sexuality, religion, nationality, or disability; 


  • Sexualize minors or promote non-consensual sex, sex trafficking, or forced labor; 


  • Upload or distribute viruses, malware, phishing links, or other harmful technologies; 


  • Impersonate individuals, brands, organizations, or Nas.io staff, or submit knowingly false, misleading, or fraudulent information; 


  • Spam, scam, or collect sensitive user data without consent; 


  • Overload, reverse-engineer, scrape, or gain unauthorized access to Nas.io systems or data; or 


  • Use unauthorized automated tools or third-party applications to interact with Nas.io, except for officially supported integrations (e.g., Zapier). 


You may not promote or sell the following through Nas.io: 


  • Pornographic or sexually explicit content intended to arouse. However, educational, artistic, or advocacy content containing non-sexual nudity may be permitted if presented respectfully and non-exploitatively; 


  • Illegal or regulated substances, including unlicensed sales of drugs, alcohol, or tobacco; 


  • Firearms, explosives, or weapons of any kind;  


  • Counterfeit or pirated goods, including unauthorized digital access (e.g., IPTV, software account sharing); 


  • MLM programs, pyramid schemes, or deceptive "get-rich-quick" offers; 


  • Unlicensed gambling, lotteries, or sweepstakes (unless approved in writing by Nas.io); 


  • Cryptocurrency token sales, investment pitches, or speculative promotions. Educational content about crypto, finance, or trading is allowed — but you must not sell, promote, or endorse specific coins, platforms, or financial products; or 


  • Hate speech, medical misinformation, or any content that violates the terms of Nas.io’s partners (e.g., Stripe, Meta, Razorpay, Ebanx). 


External Products & Services: 

You may use Nas.io to promote and sell external products or services. However, if your activity is flagged (via user reports, disputes, or suspected fraud), Nas.io may request verification from you, including but not limited to: 


  • Proof of identity; 


  • Details of the product or service; 


  • Evidence of fulfillment or delivery; and 


  • Proof of your right or authority to sell. 


Failure to provide verification may result in temporary suspension, removal of the product, feature restrictions, and/or account deactivation. Where a User’s account is deactivated, any remaining value will be returned to members.  

We reserve the right (but are not obligated) to monitor interactions among Members, Community Managers, or Community Creators. Concerns may be reported to help@nas.io. 


F. Termination 

You may request to close your Nas.io account at any time by emailing help@nas.io. A team member will assist you. 

Nas.io may suspend, restrict, or permanently deactivate your account and/or any Communities you manage at its sole discretion, including but not limited to under any of the following circumstances: 


  • Violation of these Terms, Guidelines, or applicable laws; 


  • Activity that risks user safety, trust, or platform integrity; 


  • Violation of partner policies (e.g., Stripe, Meta, Ebanx, Razorpay); or 


  • Involvement in fraud, chargebacks, disputes, or unauthorized behavior. 


Accounts flagged for review may be required to provide additional information and/or undergo additional verification processes. Where such account verification is not completed or incomplete information is provided, Nas.io may: 


  • Impose feature restrictions or suspend the account; 


  • Permanently deactivate the account; or 


  • Refund users for any pending payouts or disputed transactions. 


In urgent or high-risk cases, Nas.io may act without prior notice to comply with legal obligations or protect users and the platform. 


G. Feedback 

We welcome your feedback and suggestions about how to improve our Services. Please submit your feedback at help@nas.io. Any feedback provided shall become the property of Nas Company 

2. Your Content


In simple terms, you keep complete ownership of all content and activity in your Community, unless such content is provided by Nas Company. By creating a Community with us, you authorize us to run your Community such that content, data, and activity shows up. It is your sole responsibility to ensure that you have all necessary rights and permissions to use any content that you upload to your Community. 


A. Content 

Your Content:

If you are a Community Creator, all materials that you upload, publish or display to others within a Community (“Your Content”) shall constitute content which you own and have the rights/ permissions to distribute, except as otherwise provided by Nas Company.  

For the avoidance of doubt, Your Content does not include Membership Lists (as described in Section 2.D below). 


User Generated Conten:

Any material that a Member uploads, publishes, or displays to others through your Community (“User Generated Content”) shall remain the property of such Member. 


B. Ownership of Content 

You keep complete ownership of all Your Content. By posting Your Content on the Services, you grant Nas.io a license to show it on your Community. Ownership of Your Content shall remain with you and your licensors at all times. 

In connection with your use of the Services, you hereby grant Nas.io and our affiliated companies a nonexclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable (through multiple tiers), perpetual and irrevocable license to copy, display, transmit, perform, distribute, store, modify, and otherwise use Your Content in connection with the operation of the Services in any form, medium or technology now known or later developed, including publication and use on any Integrated Services (as defined below at Section 6).  

This license includes the right for us to make Your Content available and sublicense rights to other entities and individuals who partner with us in the delivery of the Services. If you join a Community that is Paid, By Application or Gated, rather than Public, only We, your Community Creator/Manager and Members who are invited to join that Community will be able to see Your Content that you post. We may preserve Your Content and may also disclose Your Content if required to do so by law or if we believe in good faith that such preservation or disclosure is reasonably necessary to:  


  • Comply with legal processes, applicable laws or government requests;  


  • Enforce these Terms;  


  • Respond to claims that any of Your Content violates the rights of third-parties; or  


  • Protect the rights, property, or personal safety of Us, our users and the public.  


The technical processing and transmission of Your Content may involve transmissions over various networks and changes to conform to technical requirements of connecting networks or devices. 


C. Your Licenses to Us 

You (as a Community Creator) grant us a limited, non-exclusive license to use and access Your Content in order to make your Community accessible to your Members. 


D. Membership List 

If you are a Community Creator, you own the list of Member emails and contact information ("Membership List") and grant us and your Community Manager a license to use it to provide the Services and any relevant platform advisories. 


E. Royalties, fees and monies owed to third parties 

You agree to pay all royalties, fees, and any other monies owed to any person by reason of any of Your Content.  


F. Acceptable Use 

You agree to follow the Guidelines. If you are a Community Creator, you agree to respect commitments made to Members of your Community about use of the Membership List, as further described in Section 5. You accept responsibility if Your Content violates the intellectual property or personal rights of others. We reserve the right to remove or suspend, in whole or part, any of Your Content that violates the Guidelines. 

3. Copyright and Trademark


A. Copyright 

At Nas Company, we expect our users to respect the intellectual property rights of others. Users of Nas Company should take care to avoid infringing the copyright of others.  

if you infringe the copyright of others, your Content may be removed or suspended in whole or part. It is our policy, in appropriate circumstances and our discretion, to disable and/or terminate accounts of users (Members or Community Creators) who infringe or are found to be infringing the copyright or other intellectual property rights of others. 


B. Trademarks 

At Nas Company, we expect our users to respect the intellectual property rights of others. Trademarks should not be used in a way that causes confusion about the source of goods or sponsorship.  

If you infringe the trademarks of others, Your Content may be removed or suspended in whole or in part. It is our policy, in appropriate circumstances and at our discretion, to disable and/or terminate accounts of users (Members or Community Creators) who infringe or are found to be infringing the trademarks or other intellectual property rights of others. 

4. Service Materials


A. Service Materials 

All rights, title, and interest in the Services, including the Nas Company buttons, badges, logos, widgets, text, images, design, software, documentation, source code, algorithms, graphics, photographs, video and audio files, other files, data, and the selection, arrangement, structure, coordination, and the "look and feel" thereof (excluding Your Content, User Generated Content, Membership List, third-party web services or third-party content linked to or posted within the Service) (the "Service Materials") are the property of Nas Company and/or its licensors. The Nas Company or Nas.io name and logo, the Nas Company or Nas.io marks, and the Nas Company or Nas.io logos are trademarks and service marks of our Company. We retain all rights, title, and interest in and to the Service Materials. Except as expressly provided in these Terms, you agree not to use, modify, reproduce, distribute, sell, license, reverse-engineer, decompile, or otherwise exploit the Service Materials without our express written permission. 


B. Our Licenses to You. 

Subject to these Terms, we grant you a limited, non-exclusive license to use and access the Service Materials and the Services. Except for the rights and licenses granted in these Terms, we reserve all other rights and grant no other rights or licenses, implied or otherwise. 

You further undertake that you shall only use your original works and that the same does not violate and/or infringe any intellectual property rights, trademarks, trade names, patents and/or copyright of any third-party or author. Furthermore, you undertake that the aforesaid work was not published, submitted to or is under consideration as former creator, or for Nas Daily Trademarks, or of any other entity or third-party. 


C. No Endorsement or Screening. 

Please note that the Services contain access to third-party content and other interactions over which we have no control. We assume no responsibility for, nor do we endorse, screen, or approve the content, offerings, or materials made available to you within a Community, or the conduct of parties who participate in a Community. 

5. Rights and Obligations of Community Creator


A. Emails and Contact Information of Members 

The name and contact information of Members who register to join a specific Community will be made available to that Community Creator in order to facilitate communications. A Community Creator or its Community Managers shall use the Membership List solely to communicate with a Member for purposes related to the Community or the reasonably assumed interests of the Member who has joined the Community. A Community Creator understands and agrees that it is prohibited to:  


  • Sell the Membership List to a third-party; or 


  • Use or disclose the Membership List for commercial purposes unrelated to the Community or the interest of the Member who joined the Community. 


You also warrant that you shall comply with all applicable data protection laws and regulations, and that you shall only process, use or disclose personal data for the following purposes: 


  • Strictly for the purposes of fulfilling your obligations under these Terms; 


  • With the prior written consent of the other party; or 


  • When required by law or an order of court, provided that you shall, at your own costs, notify the other party as soon as practicable before complying with such law or order of court. 


B. Representation and Warranty of Community Creators 

If you are a Community Creator, it is important for you to respect and honor the trust of Members who join the Community you created. If you are a Community Creator, you represent and warrant that, in your communications with Members and handling of Membership List, you:  


  • Will comply with all applicable laws and regulations; and  


  • Will comply with the obligations set out in Section 5.A of these Terms.  


If you are a Community Creator, you also represent and warrant that all advertising, sponsorships, and promotions you introduce to your Community will comply with all applicable laws, regulations, and industry guidelines. 


C. Use of Tracking Technologies  

Our platform provides functionality that allows you, as a Community Creator, to implement third-party tracking technologies — such as Meta Pixel (for more information, please refer to https://help.nas.io/en/articles/9828727-installing-pixels-on-nas-io) or other analytics tools — by supplying your tracking ID or configuration. 

By choosing to use these features, you acknowledge and agree that: 


  • You are solely responsible for providing accurate disclosures to end users regarding any data collected via these technologies; 


  • You must obtain all legally required consents under all applicable data protection laws and regulations; and 


  • You are responsible for complying with the policies of the tracking technology provider (e.g., Meta’s Data Policy). 


While Nas.io facilitates the technical implementation of these tools, we do not control, access, or take responsibility for any data collected through your configured tracking setup. All liability arising from such use rests solely with you. 

6. Integrated Services

You may enable various online services like WhatsApp, Discord, Telegram, etc. to be integrated into your Community Creator or Member account or Community ("Integrated Services"). To utilise these features, we may ask you to register for or log into the Integrated Services on the websites of their providers. By enabling Integrated Services in connection with the Services provided by us, you consent to the collection , use and disclosure of any and all information required in connection with the Services and/or the Integrated Services. For more information about the implications of activating these Integrated Services and our use, storage, and disclosure of information related to you and your use of such services within your Community, please refer to our Privacy Policy.  

Your use of any Integrated Services, and the manner in which any Integrated Services offer or perform their services and collect, use, store, and disclose your personal data is governed solely by the terms of use, privacy policies, and other policies of such third-parties, and we shall have no liability or responsibility for the privacy practices or other actions of any Integrated Services or any other third-party site or service, whether or not they are directly enabled within the Service. 

You further undertake to protect any and all information provided by the other, in compliance with the requirements relating to data protection under all applicable data protection laws and regulations. 

Furthermore, you undertake not to use any confidential information for any purpose except for the purpose of fulfilling the respective obligations under these Terms and/or in the implementation of the Services contemplated herein. Under no circumstances shall you use any of the Confidential Information for any other purpose, without the prior express, written consent of Nas.io. 

7. Types of Plans on Nas.io


When you start using Nas.io, you can choose between a free plan (“Free Plan”) and a range of paid plans (“Paid Tier”) tailored to your Community’s needs. All users are granted access to the Nas.io Free Plan by default. Users who signed up before the introduction of Paid Tiers remain on the Free Plan unless they opt into a Paid Tier. 


A. Inclusions of Nas.io Free Plan 

All users, whether on Free Plans or Paid Tiers, receive access to the following features at no cost: 


Core Software Features 

  • Community Dashboard and Landing Page; 


  • Email sending tools such as Magic Reach (for more information, please refer to https://nas.io/features/magic-reach); and 


  • Monetization features: 


  • Subscriptions (also known as memberships); 


  • Courses; 


  • Digital Files; 


  • One-to-one sessions; 


  • Challenges; and 


  • Events. 


Support & Eligibility 

  • Access to Nas.io general support services via live chat or email; 


  • Eligibility for one-time strategy consultation after hitting defined performance milestones; and 


  • Opportunity to earn via the Nas.io Pro Referral Program (for more information, please refer to https://help.nas.io/en/collections/3964620-nas-io-referral-program). 


Free Usage Limits 

  • One (1) GB of digital content storage per Community; and 


  • 10,000 individual Magic Reach (for more information, please refer to https://nas.io/features/magic-reach) emails per month. 


Nas.io reserves the right to temporarily suspend or permanently deactivate any feature in case of violations of our policies, including those outlined in Section 1.E. 


B. Paid Tiers  

Users may upgrade to a Paid Tier, such as Nas.io Pro, for enhanced features, extended usage limits, and priority services. Paid Tiers apply to both the trial and full subscription period and include: 


Benefits of Paid Tiers 


  • Lower transaction fees on eligible products. 


Pricing and Renewals 

  • Paid Tier pricing may vary by region and is subject to change. 


  • Paid Tier subscriptions are automatically renewed at the end of each billing cycle. 


  • By subscribing to a Paid Tier, you authorize Nas.io to charge your payment method for the subscription, unless the subscription is canceled prior to its renewal date. 


  • Users may cancel their Paid Tier subscription at any time via the platform. 


Refund Policy for Paid Tiers 

  • Refund requests for all Paid Tiers must be submitted by users within 48 hours of upgrading from trial to full subscription


  • Refunds requested outside this window are only reviewed in exceptional circumstances (e.g., technical failure) and any refund in such cases shall be granted at Nas.io’s sole discretion and is not guaranteed. 


  • Community refunds are outside of the scope of this refund policy. All transactions to Community Creators processed through Nas.io are non-refundable. 

8. Fees for Community Business Owners and Members


Nas.io may charge fees to both Community Creators and their Members. These fees are communicated transparently to you before any purchase. By using Nas.io’s monetization or membership features, you agree to the applicable charges and structures as outlined below. 


A. Transaction Fees (also known as Nas.io Fees) 


  • Nas.io charges a transaction fee on purchases made through the platform. This includes purchases for subscriptions (memberships), courses and digital files, challenges, events, and one-to-one sessions. 


  • Transaction fees are shown at checkout and may appear as part of the product price or as a separate fee. 


  • Creators may choose to either absorb these fees or pass them on to the purchasing Members. This setting is configured at the community level. 


  • Paid Tier users with access to Zero Links (for more information, please refer to https://help.nas.io/en/articles/10998764-introducing-zero-links-payment-made-easy) are subject to a tiered transaction fee model based on product pricing. 


  • For Community Creators who are eligible for the Beta Plan (as defined at Section 8.I(i) below below), a 0% transaction fee applies to subscription (membership) products only. Standard payment processing fees still apply. 


B. Payment Processing Fee 

Nas.io’s payment processing services are available only to Community Creators who (1) are not incorporated, formed, or registered in Singapore, (2) do not carry on business in Singapore, and (3) do not target users in Singapore. 

These fees are determined by Nas.io based on blended gateway fees from transactions through different payment processors (e.g., Stripe, Razorpay, Ebanx). 

  • Payment processing fees may include without limitation, foreign exchange conversion charges, recurring billing costs, and flat or variable gateway service charges. 


  • As these are third-party charges, Nas.io collects these fees on behalf of the payment processors and remits them accordingly. These rates may change without prior notice. 


  • At checkout, payment processing fees will be transparently displayed, either: 


  • As part of the final product price; or 


  • Shown as a separate line item depending on the Community Creator's configuration. 


  • Similar to transaction fees, Community Creators may choose to either absorb or pass on these fees to the purchasing Member. This preference is configurable at the community level. 


  • Nas.io reserves the right to make changes to the fees should the blend of the fees change. 


C. Refund and Chargeback Handling 

i. Refunds 

Nas.io’s refund processing applies only to Community Creators who (1) are not incorporated, formed, or registered in Singapore, (2) do not carry on business in Singapore, and (3) do not target users in Singapore. 

Nas.io, as the Merchant of Record (“MoR”), is responsible for processing refunds to Members. However, Community Creators are responsible for managing their own refund policies and addressing customer issues in accordance with their stated terms. 

Community Creators may request a refund to be issued on their behalf for transactions that have not yet been paid out. All refund requests are subject to the following conditions: 

  • Refunds must be requested within the same calendar month of the original transaction, and only if sufficient funds are available from pending earnings;  


  • Refunds will not be processed during the payout consolidation period (first two (2) and last two (2) days of the month that is not a Saturday, Sunday, public holiday, or a day on which Nas.io is closed (“Business Days”)); and 


  • If funds have already been disbursed and pending sales are insufficient to cover the refund, Nas.io will reject the request and refer the requestor to the Community Creator. 


Nas.io reserves the right to issue refunds at its discretion in the following cases, without limitation: 

  • Breach of Nas.io’s Guidelines (see Section 1.E); 


  • Where there is evidence of fraud or abuse; or 


  • Legal or regulatory obligations. 


ii. Chargebacks 

Nas.io’s chargeback handling applies only to Community Creators who (1) are not incorporated, formed, or registered in Singapore, (2) do not carry on business in Singapore, and (3) do not target users in Singapore. 

Chargebacks are disputes raised by Members through their payment providers. Because Nas.io is the MoR, chargebacks are filed against Nas.io and processed via our payment partners (e.g., Stripe). 

In the event of a chargeback: 

  • Nas.io will notify the relevant Community Creator and request supporting evidence; 


  • If permitted by the payment provider, Nas.io may file a counterclaim using the Community Creator’s submitted documentation; 


  • If the Community Creator is unresponsive, Nas.io may still attempt to counterclaim, and will deduct a 20% recovery fee from the transaction amount if the dispute is won; and 


  • Any chargeback fees imposed by the payment provider will be passed on to the Community Creator. 


Nas.io reserves the right to offset chargeback losses against future Community Creator payouts. 


D. Add-ons and Additional Services 

Some Community Creators may have more complex needs. In these cases users may purchase Paid Tiers or optional add-ons such as: 

  • Additional storage; 


  • Additional email credits; and/or 


  • Additional WhatsApp direct messages 


Fees for such add-ons are billed separately and may be modified by Nas.io at its sole discretion. 

Additional features and services introduced by Nas.io in the future may be subject to separate fees, which shall be determined at Nas.io’s sole discretion. 


E. Tax  

We collect tax identification information and report this to tax authorities as legally required. You are responsible for reporting any income or withholding taxes which may be due as a result of payments received. 


F. Payouts to Community Creators 

Nas.io’s payouts to Community Creators apply only to Community Creators who (1) are not incorporated, formed, or registered in Singapore, (2) do not carry on business in Singapore, and (3) do not target users in Singapore. 

Nas.io begins processing payouts on the first Business Day of each month. The entire process typically takes five (5) to seven (7) Business Days to complete. Once the transfer has been initiated on our side, funds usually arrive in your bank account within one (1) to three (3) Business Days, depending on your bank’s processing time. 

Final payout amounts will include total earnings (such as product sales, referrals, and bonuses), minus applicable platform and payment processing fees. 

As the MoR, Nas.io collects payments from Members, deducts applicable fees, and disburses funds to eligible Community Creators. 


To receive payouts, Community Creators must: 

  • Complete the payout setup process via Stripe Connect Express; 


  • Provide valid identity verification and banking details; and 


  • Complete any additional Nas.io verification steps required for fraud or compliance checks. 


Community Creators must finalize this setup no later than the second-to-last Business Day of each month to be eligible for that month's payout. 

By using Stripe Connect Express, you agree to be bound by Stripe’s Connect Platform Agreement, which governs your use of Stripe’s services. Nas.io is not responsible for delays, holds, or failed payouts due to issues with your Stripe account or onboarding process. Nas.io reserves the right to withhold, delay, or deduct payouts in cases of:

  • Policy violations under Section 1.E; 


  • Suspected fraud; 


  • Chargebacks or customer disputes; or 


  • Incomplete or incorrect payout setup. 


G. Payment Responsibilities of Members 

  • Members must use a valid and authorized payment method when making purchases. 


  • Each Community sets its own refund policy, which is typically stated on the sales page. 


  • All refund requests will be made through the Community Creator and are subject to their approval. 


  • Where no policy is stated and the Community Creator is not responsive, Nas.io’s default policy is to allow refunds for purchases within the same calendar month as long as the user has not accessed the said purchase. 


  • Subscriptions and memberships are auto-renewed and charged to the nominated payment method. Members may cancel their subscription and/or membership prior to renewal to avoid charges. 


  • If a Community Creator terminates their Nas.io service, no refunds will be issued for the unused time. 


  • If Nas.io terminates a Community Creator's service for policy violations, no refunds will be issued. 


  • If a Member’s subscription is terminated by themselves or the Community Creator, the Community Creator is responsible for determining refund eligibility. 


H. Nas.io as Merchant of Record 

Nas.io’s MoR services apply only to Community Creators that are not incorporated, formed, or registered in Singapore and that do not carry on business in Singapore. 

Nas.io acts as the MoR for all transactions made on the platform. This means Nas.io: 


  • Collects payments from Members on behalf of Community Creators; 


  • Handles tax collection and remittance where legally required; 


  • Issues receipts and invoices to purchasers; and 


  • Manages disputes, chargebacks, and refunds in accordance with platform policy. 


As MoR, Nas.io may: 

  • Withhold payouts in cases of suspected fraud, chargebacks, or policy violations (see Section 1.E above); 


  • Offset future payouts to recover losses resulting from refunds or penalties; and/or 


  • Decline refund or chargeback requests if in violation of platform or Community Creator policies. 


Community Creators acknowledge and agree that Nas.io retains final authority over how payments are processed and disbursed in accordance with applicable laws and platform policies. 


I. Beta Plan 

This section outlines the criteria for which Community Creators are designated as Beta Users (as set out at Section 8.I(i) below). Beta Users are eligible to participate in this plan (“Beta Plan”) and are entitled to certain benefits.  


i. Beta Plan Eligibility 

Beta Plan eligibility and benefits apply only to Community Creators who (1) are not incorporated, formed, or registered in Singapore, (2) do not carry on business in Singapore, and (3) do not target users in Singapore. 

All Community Creators that have fulfilled the following steps as set out below qualify as a Beta User and are eligible for the Beta Plan: 


  • Signed up for Nas.io on or before 24 November 2022, 11:59:59 PM SGT; and 


  • Completed the setup of his / her Community on or before 24 November 2022, 11:59:59 PM SGT. A complete setup of his/her Community shall mean the completion of all steps stipulated below:  


  • Created a community – The Community Creator already has an active URL for the Community; and 


  • Completed their Nas.io profile – The Community Creator has provided their email and updated their log-in credentials. 


ii. Beta Plan Benefits 

Eligible Beta Users can enjoy the following benefits outlined below: 

  • Free access to all the free features; and 


  • A lifetime transaction fee of 0% shall apply solely in respect of subscriptions only. All other digital products, events, challenges, 1v1 sessions, and any other purchases, shall remain subject to the default fees. 


Beta Plan benefits are non-transferable to newly created Communities after the eligibility cutoff date. 

9. Nas.io Marketing Features and Services


Magic Ads (for more information, please refer to https://help.nas.io/en/articles/11483959-nas-io-magic-ads) is an optional service that enables Community Creators to promote their communities and products through paid advertising managed by the Nas.io team. By using Magic Ads, you agree to the following: 


A. Overview and Usage 

  • Community Creators can submit requests for paid advertising using Nas.io’s internal tools. 


  • Ads will be managed by Nas.io on external platforms such as Meta (e.g., Facebook and Instagram) based on creator inputs and budgets. 


  • Campaign performance is tracked and reported back to the Community Creator via the Nas.io dashboard. 


B. Budget and Fees 

Creators are required to maintain a pre-paid balance for Nas.io marketing (“Ads Balance”), which is drawn down from when launching advertising campaigns. 


The Ads Balance includes: 

  • Amounts spent directly on the advertising platform (e.g., Meta) (“Ad Budget”); and 


  • Service fees for advertisement setup, management, and optimization (“Nas.io Fee”). 


In the event that an advertisement is rejected before launch, both the Ad Budget and Nas.io Fee will be refunded to the Ads Balance. 

Any spending that has been incurred from the Ad Balance (including without limitation, impressions and clicks) shall be strictly non-refundable, in accordance with Meta’s platform policies. 

Where Nas.io has, pursuant to a special agreement, advanced any portion of the advertising budget on behalf of the Community Creator, the total amount so advanced, together with any agreed service fees, shall be deducted from the Community Creator’s subsequent payout. 


C. Compliance and Risk 

Ads must comply with the Meta Advertising Guidelines and all applicable platform and regulatory policies. 

Ads found to violate our Guidelines or pose a risk to Nas.io’s standing may be paused or canceled without refund. 


Creators must not promote: 

  • Misleading or exaggerated claims;  


  • Financial or health outcomes that are unverifiable; or 


  • Ineligible products under Meta or Nas.io’s policy 


Nas.io reserves the right to reject advertising campaigns at its sole discretion to maintain platform integrity. 


D. Refunds and Withdrawal 

Refunds are only available for unused budgets in the Ads Balance. 

Ads Balance funds can be withdrawn upon request by emailing finance@nas.io. 

Withdrawals shall be processed within five (5) to seven (7) Business Days, subject to the completion of all requisite verification procedures.

10. Nas.io Pro Referral Program


Nas.io offers a referral program (“Referral Program”) that allows eligible users to earn rewards by referring others to the platform. Participation in the Referral Program is subject to the following terms: 


A. Eligibility and Participation 

All Nas.io users are eligible to participate unless explicitly excluded due to policy violations or account restrictions. 

Referrals must be genuine and not created by the referrer (self-referrals, fake identities, or duplicate accounts are strictly prohibited). 

Nas.io reserves the right to suspend or disqualify any user from the Referral Program in cases of suspected fraud, abuse, or manipulation of referral mechanics. 


B. Referral Rewards and Criteria 

Referral bonuses may be earned when a referred user: 


  • Signs up using a valid referral link; and 


  • Meets the referral milestone (e.g., generates sales, launches a paid product, upgrades to a Paid Tier, or completes a qualifying challenge) 


The exact reward structure, payout amount, and milestones will be communicated through the Nas.io platform and are subject to change at Nas.io’s discretion. 


C. Payout and Conditions 

Referral bonuses will be included in the monthly payout cycle alongside other Nas.io earnings. 

If a referred user’s activity results in refunds, chargebacks, or fraud flags, Nas.io reserves the right to revoke or withhold referral rewards. 

If a payout is not possible due to incomplete bank or identity verification, the referral amount may be withheld until compliance is met. 


D. Program Changes and Termination 

Nas.io reserves the right to modify, suspend, or terminate the Referral Program at any time, with or without prior notice. 

In the event of program discontinuation, earned rewards not yet paid out will still be honored, provided all other conditions are met. 


E. Referral Program Limitations 

Referrals must not be promoted through misleading claims or marketing that misrepresents Nas.io’s offerings. 

Nas.io retains sole discretion in interpreting these Terms and resolving any disputes related to the Referral Program. 


11. Disclaimers and Limitation of Liability


PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS THE LIABILITY OF NAS EDUCATION PTE LTD, ITS SUBSIDIARIES, AFFILIATES, RELATED COMPANIES, SUPPLIERS, LICENSORS, PARTNERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND REPRESENTATIVES (“NAS EDUCATION PTE LTD ENTITIES”) TO YOU.  

EACH OF THE PROVISIONS SET OUT HEREIN SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAWS. 


A. Platform Provided "As-Is" 

Nas.io and all associated Services, tools, and materials are provided on an "as-is" and "as-available" basis, without any representation or warranty of any kind. To the fullest extent allowed by any applicable laws, Nas.io expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation any warranties of merchantability, fitness for a particular purpose, accuracy, availability, reliability, quiet enjoyment, and non-infringement. 


B. No Guarantees 

We make no warranties or guarantees regarding: 


  • The content uploaded or shared by any user or third-party; 


  • The accuracy, timeliness, or reliability of content or results from using the platform; 


  • Any third-party services, sites, or products linked to or accessible from Nas.io; 


  • The performance or conduct of any Host, Member, or external vendor; or 


  • Continuous or error-free operation of the platform. 


You acknowledge and agree that your use of the Services, and any communities or third-party features accessed through the Services, is undertaken entirely at your own risk. 


C. Limitation of Liability 

To the maximum extent permitted under any applicable laws, Nas Education Pte Ltd Entities shall not be liable to you under any theory of liability—whether in contract, tort (including negligence), statutory duty, or otherwise—for any indirect, incidental, consequential, punitive, or special damages, or for any loss of profits, revenue, goodwill, data, or business interruption, even if we were advised of the possibility of such damages or such damages were foreseeable. 


D. Maximum Liability Cap 

If, notwithstanding these disclaimers, Nas Education Pte Ltd Entities are found liable to you for any claim arising out of or in connection with your use of the platform or these Terms, our liability shall not exceed the total amount you paid to Nas.io during the 12 months preceding the claim 


E. Sole Remedy 

your sole and exclusive remedy for dissatisfaction with the Service is to stop using it. 


F. Security and Data Risks 

We do not guarantee that the platform or any part of it will be free from bugs, viruses, or other harmful components. You are responsible for implementing adequate security measures to protect your systems. Nas.io shall not be liable for any damage caused by technological threats, security breaches, or misuse of personal data if we have complied with our obligations under applicable data protection laws.  


G. External Factors 

Nas.io shall not be liable for any failures or delays resulting from circumstances beyond our reasonable control, including internet failures, equipment malfunctions, third-party service interruptions, or force majeure events such as natural disasters, war, or changes in law. 


You agree to release, defend, indemnify, and hold harmless Nas Education Pte Ltd Entities from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to legal fees) arising out of or relating to: 


  • your use of the Services; 


  • your content or conduct; 


  • your violation of these Terms; and/or 


  • your interactions with other users, including Members and Hosts. 


Nas.io reserves the right to assume exclusive control of any matter otherwise subject to indemnification. In such cases, you agree to cooperate with our defense and not settle any claim without our prior written consent. 

12. General Legal Terms


A. Changes to these Terms 

We may amend these Terms (including the Privacy Policy that are incorporated into these Terms) at any time in our sole discretion. If we amend the provisions within these Terms , such amendment will be effective after we send you notice of the amended Terms. Such notice will be at our sole discretion and manner of notification could include, for example, via email, posted notice on the platform, or any other manner. your failure to cancel your account, or cease use of our Services, after receiving notification of the amendments, will be deemed your acceptance of the amended Terms. If you do not agree to the amendments or to any of the terms in these Terms, your only remedy is to cancel your account or to cease use of our Services. 


B. Governing Law and Jurisdiction 

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People’s Republic of China. 


Any dispute, controversy, difference or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach or termination thereof, or any dispute regarding non-contractual obligations arising out of or relating to it, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (“HKIAC”) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. 

The seat of arbitration shall be Hong Kong.  

The arbitration proceedings shall be conducted in English. 


C. Applications and Mobile Devices 

If you access the Services through our mobile application, you acknowledge and agree that these Terms are between you and Us only, and not with another application service or application platform provider (such as Apple, Inc. or Google Inc.), which may provide you the application subject to its own terms. To the extent you access the Services through a mobile device, your wireless service carrier’s standard charges, data rates, and other fees may apply. 


D. Post-termination obligations 

The following provisions in these Terms shall survive the termination of these Terms: 


  • Section 1.F (Termination); 


  • Section 1.G (Feedback); 


  • Sections 2.A – 2.C (Your Content, Ownership of Content and Your Licenses to Us); 


  • Section 4.A (Service Materials); 


  • Section 5.B (Representation and Warranty of Community Creators); and 


  • Any outstanding payment obligations pursuant to Section 7(Payment), and Sections 8-11 (Fees for Community Creators and Members, Nas.io Marketing Features and Services, Nas.io Referral Program and Disclaimers and Limitation of Liability). 


E. Assignment 

You may not assign or transfer these Terms (or any of your rights or obligations under these Terms) without our prior written consent; any attempted assignment or transfer without complying with the foregoing will be void. We may freely assign or transfer these Terms. These Terms inure to the benefit of and are binding upon the parties and their respective legal representatives, successors, and assigns. 


F. Electronic Communications 

You consent to receiving communications from us by email in accordance with these Terms and any applicable laws. You further consent to Nas.io contacting your Members for your Community updates and for marketing purposes. You acknowledge and agree that all agreements, notices, disclosures, and other communications that we provide to you electronically will satisfy any legal requirement that such communications be in writing. 


G. Entire Agreement / Severability 

These Terms supersedes all prior terms, agreements, discussions and writings regarding the Services and constitutes the entire agreement between you and us regarding the Services, except as provided for in Section 7. If any provision in these Terms is found to be unenforceable, that provision will not affect the enforceability of the remaining provisions of these Terms, which will remain in full force and effect. 


H. Interpretation 

In construing or interpreting the provisions of these Terms:  


  • The headings in these Terms are included for convenience only, and shall not affect the interpretation of any provision in these Terms; and  


  • No presumption is to operate in either party’s favor as a result of its counsel’s role in drafting these Terms. 


I. Notices 

All notices permitted or required under these Terms, unless otherwise specified in these Terms, must be sent in writing in the manner set out below in order to be valid:  


  • If to you, by email to the email address associated with your account; and  


  • If to us, by email to hello@nas.io.  


Notices will be deemed to be validly given when:  


  • In the case of notices to you, at the time such email is sent; and  


  • In the case of notices to us, upon our receipt of your email. 


J. Relationship 

Nothing in these Terms is intended to, or shall be deemed to, establish any partnership between any of the Parties, constitute any party the agent of another Party, or authorise any Party to make or enter into any commitments for or on behalf of any other Party. Each Party confirms it is acting on its own behalf and not for the benefit of any other person. 


K. Waiver 

No waiver of any provisions in these Terms will be deemed a further or continuing waiver of such provision or any other provisions. Our failure to assert a right or provision conferred under these Terms will not constitute a waiver of such right or provision. 


L. Changes to the Services 

Nas.io may, at its sole discretion, introduce new features or modify existing features of the Service at any time, with or without prior notice, as part of its ongoing efforts to improve user experience. 

13. Physical Products


A. Overview and Role of Nas.io 

Nas.io may provide functionality that enables Community Managers to offer and sell physical products to Members through the platform. 


Nas.io facilitates transactions between Members and Community Managers. However, Nas.io does not act as the seller, manufacturer, distributor, warehouse provider, fulfillment provider, or delivery provider of any physical products listed on the platform. 


In connection with physical product transactions, Nas.io provides: 


  • Product listing and marketing pages; 


  • Payment processing infrastructure through third-party providers; 


  • Order notifications to Community Managers; 


  • Basic order status tools within the platform; and 


  • A mechanism for dispute submission and review. 


Nas.io does not provide: 


  • Shipping or delivery services; 


  • Warehousing or inventory management; 


  • Packaging or fulfillment services; or 


  • Any guarantee relating to delivery timelines, product condition, or successful fulfillment. 


All physical product transactions are entered into directly between the Member and the Community Manager. The Community Manager shall be solely responsible for the sale, fulfillment, shipping, delivery, and any post-sale support relating to such physical products. 


B. Payments, Settlement, and Payouts 


i. Payments 

Members may purchase physical products through the platform. Payments are processed through third-party payment providers. 


Nas.io facilitates the collection of such payments but is not responsible for the fulfillment, shipping, or delivery of any physical products. 


ii. Order Completion 

An order shall be deemed completed upon the occurrence of any of the following: 


  • The Member confirms receipt of the product through the platform; or 


  • The system automatically marks the order as completed after the Community Manager’s stated fulfillment timeline plus fourteen (14) days from the date of shipment confirmation. 


iii. Settlement and Holding Period 

Following order completion, the corresponding funds (less applicable fees) shall be made available to the Community Manager. 


All funds are subject to a holding period of seven (7) days before becoming eligible for payout. 


iv. Payouts 

Eligible balances shall be included in the Community Manager’s payout in accordance with Nas.io’s payout schedule and the timelines of the applicable payout processor. 


v. Platform Fees 

Nas.io may charge platform fees and/or payment processing fees in connection with physical product transactions. 


Such fees may be deducted from transaction amounts prior to funds being credited to the Community Manager, in a manner consistent with digital product transactions on the platform. 


vi. Adjustments 

Nas.io reserves the right to delay, withhold, offset, or adjust payouts in order to address: 


  • Refunds; 


  • Chargebacks; 


  • Disputes; 


  • Fraud investigations; or 


  • Violations of these Terms or applicable policies. 


C. Responsibilities of Community Managers 


i. Product Responsibility 

Community Managers offering physical products are solely responsible for all aspects of the products they list, including: 


  • The accuracy and completeness of product descriptions; 


  • Product quality, safety, and compliance; 


  • Pricing and applicable taxes; and 


  • Compliance with all applicable laws and regulations, including consumer protection laws, product safety requirements, labeling requirements, and any applicable import, export, or sale restrictions. 


Community Managers shall not list, market, or sell any product that is prohibited under these Terms, including under Section 1.E. 


ii. Fulfillment Responsibilities 

Community Managers shall: 


  • Ship products directly to Members; 


  • Manage packaging, logistics, and delivery arrangements; 


  • Provide clear and accurate shipping timelines; and 


  • Update order status on the platform upon shipment. 


iii. Customer Service 

Community Managers are responsible for all post-sale support, including: 


  • Handling delivery issues; 


  • Addressing damaged, defective, or incorrect items; and 


  • Managing refunds, exchanges, replacements, or reshipments where applicable. 


For the avoidance of doubt, Community Managers are solely responsible for fulfillment, shipping, delivery, and all post-sale customer support obligations. 


D. Responsibilities of Members 

Members purchasing physical products through the platform agree to: 


  • Provide accurate and complete shipping and contact information; 


  • Confirm receipt of products through the platform where applicable; and 


  • Contact the Community Manager directly in the first instance in the event of any issue. 


Members acknowledge that resolution should first be sought with the Community Manager before escalating disputes through the platform. 


Where a Member provides inaccurate or incomplete shipping information, refuses delivery, or fails to collect a shipment within the timeframe required by the applicable carrier or collection point, the Member may lose eligibility for a refund, replacement, or reshipment, subject to the Community Manager’s stated policy and Nas.io’s review rights under these Terms. 


E. Shipping and Risk Allocation 


i. Shipping 

Community Managers shall be solely responsible for arranging, managing, and completing the shipment and delivery of all physical products purchased through the platform. 

Community Managers shall ensure that: 


  • Shipping timelines are clearly communicated to Members prior to purchase; 


  • Shipment confirmation is provided through the platform once the order has been dispatched; 


  • Tracking details are provided where available; and 


  • Accurate fulfillment and delivery records are maintained and furnished to Nas.io upon request for the purpose of dispute review, fraud prevention, compliance, or chargeback defence. 


Any shipping or delivery timelines communicated through the platform are estimates only, unless expressly stated otherwise by the Community Manager. 


Nas.io does not control and shall not be responsible for any carrier, courier, shipping provider, customs authority, warehouse provider, or other third party involved in the fulfillment or delivery of physical products. 


ii. Risk of Loss and Title 

Unless otherwise expressly stated by the relevant Community Manager, title to and risk in the physical product shall remain with the Community Manager until the product is delivered to the Member at the shipping address provided for the order. 


The Community Manager shall bear all risk of loss, damage, theft, or misdelivery of the physical product prior to such delivery, except to the extent caused by: 


  • Incorrect or incomplete shipping information provided by the Member; 


  • The Member’s refusal to accept delivery; or 


  • The Member’s failure to collect the shipment within the time required by the relevant carrier or collection point. 


Where a delivery failure arises from any of the circumstances stated above, the Community Manager may determine, acting reasonably and in accordance with any disclosed return or refund policy, whether a refund, replacement, reshipment, or additional delivery charge shall apply. 


iii. Delivery Issues 

Any issue relating to non-delivery, delayed delivery, damaged goods, incomplete orders, or incorrect items shall be handled in the first instance by the Community Manager. 


Nas.io may request supporting records from the Community Manager and the Member, including without limitation shipment confirmation, tracking records, delivery confirmation, correspondence, or photographs, in connection with any dispute, refund request, or chargeback review. 


Where the Community Manager fails to provide reasonably requested records within the timeline specified by Nas.io, Nas.io reserves the right to resolve the matter based on the information then available, including issuing a refund or adjustment where appropriate. 


iv. No Delivery Guarantee 

Nas.io does not guarantee: 


  • That any physical product will be shipped or delivered within any specified timeframe; 


  • The availability, performance, or reliability of any shipping or logistics provider; 


  • The condition of any physical product upon delivery; or 


  • The successful completion of fulfillment by any Community Manager. 


For the avoidance of doubt, Nas.io’s role is limited to facilitating the transaction and providing platform functionality, and Nas.io shall not be liable for shipping delays, failed delivery, lost parcels, damaged goods, or fulfillment errors caused by any Community Manager or third-party logistics provider. 


F. Returns, Replacements, and Failed Delivery 


i. Returns and Replacements 

Community Managers shall be solely responsible for determining and communicating their return, replacement, exchange, and reshipment policies in respect of physical products, subject always to applicable law. 


Any such policy shall be clearly disclosed to Members prior to purchase. Where no such policy is stated, Nas.io shall have the right to review the relevant facts and determine an appropriate resolution at its sole discretion. 


Requests for returns, replacements, exchanges, or reshipments shall be handled by the Community Manager in the first instance. 


ii. Damaged, Defective, or Incorrect Items 

Where a Member receives a product that is damaged, defective, incomplete, or materially different from the product description, the Member shall contact the Community Manager promptly and provide such supporting information as may reasonably be required, including photographs and order details. 

The Community Manager shall be responsible for assessing the issue and, where appropriate, offering a refund, replacement, exchange, or reshipment in accordance with its stated policy and applicable law. 

Nas.io may review such matters where escalated through the platform and may request supporting records from either party. 


iii. Failed Delivery 

Where delivery fails due to: 


  • Incorrect or incomplete shipping information provided by the Member; 


  • The Member’s refusal to accept delivery; 


  • The Member’s failure to collect the shipment in time; or 


  • Any other act or omission of the Member, 


the Community Manager shall not be required to provide a full refund and may deduct any shipping, return handling, redelivery, storage, or related charges, to the extent permitted by applicable law and disclosed policy. 


Where delivery fails due to the Community Manager’s error, failure to ship, failure to provide accurate shipment details, inadequate packaging, or failure to use reasonable fulfillment standards, the Community Manager shall remain responsible for refunding, replacing, or reshipping the relevant order. 


iv. Returned Shipments 

If a shipment is returned to the Community Manager for any reason, the Community Manager shall determine, acting reasonably and in accordance with any disclosed return or refund policy, whether: 


  • The shipment will be resent; 


  • A partial refund will be issued; 


  • A replacement will be provided; or 


  • Additional shipping charges will apply. 


Nas.io may review the reason for the returned shipment and any supporting evidence in the event of a dispute. 


v. Nas.io Review Rights 

Notwithstanding anything to the contrary in this Section, Nas.io reserves the right, at its sole discretion, to: 


  • Review any request relating to a return, replacement, exchange, reshipment, or failed delivery; 


  • Request supporting evidence from the Community Manager and/or Member; 


  • Issue refunds or adjustments where deemed appropriate; and 


  • Deduct any such amounts from the Community Manager’s balance or future payouts. 



G. Refunds and Disputes 

Members and Community Managers are encouraged to resolve any disputes directly between themselves in the first instance. 

Nas.io may, at its sole discretion: 


  • Review disputes submitted through the platform; 


  • Request records or supporting information from either party; and 


  • Issue refunds where deemed appropriate. 


Any refund amounts issued may be deducted from the Community Manager’s balance or future payouts. 

Without limiting the generality of the foregoing, Nas.io may determine a dispute based on the information then available where: 


  • The Community Manager fails to respond within the timeline specified by Nas.io; 


  • The Community Manager fails to provide reasonably requested shipment, delivery, or fulfillment records; 


  • There is evidence of fraud, abuse, misleading product information, or policy violation; or 


  • Refund action is required for legal, regulatory, payment processor, or platform integrity reasons. 



H. Data Sharing and Privacy 

i. Sharing of Member Information 

In order to facilitate fulfillment, certain Member information will be shared with the relevant Community Manager, including: 


  • Name; 


  • Shipping address; 


  • Contact information, where required for delivery; and 


  • Order details. 


ii. Use of Personal Data by Community Managers

Community Managers receiving Member data agree that they shall: 


  • Use such data solely for the purpose of fulfilling orders, providing order-related support, and resolving delivery issues;
